Namirial to acquire Smouse and strengthen its European RegTech and compliance offering

Milano / Senigallia / Piacenza, Italy – 10th December 2025 – Namirial, a leading European provider of digital trust and digital transaction management solutions, backed by Bain Capital, PSG Equity and Ambienta, today announced that it has signed an agreement to acquire Smouse, the RegTech platform of Studio Informatica S.r.l., a specialist in regulatory compliance software for financial institutions and enterprises. 

The transaction will bring together Namirial’s digital identity, signature and trust services portfolio with Smouse’s mission-critical solutions for certified email management, anti-money laundering (AML), tax authority compliance, and retail banking automation, widely adopted across the Italian banking, financial services and insurance sectors. 

Founded in 1995 and headquartered in Piacenza, Studio Informatica serves leading Italian banks, insurers, and large enterprises with advanced software products, many of which are embedded in customers’ core processes and delivered under highly recurring SaaS models. Smouse solutions help organizations automate certified communications, monitor AML obligations, manage reporting to tax authorities, and streamline key banking workflows, enabling customers to reduce operational risks while keeping pace with an increasingly complex regulatory environment. 

Under Namirial ownership, Smouse will operate as the Group’s RegTech center of excellence, with its current leadership team remaining in place. The combined offering will accelerate innovation for financial institutions and other highly regulated organizations, while creating cross-selling opportunities across Namirial’s customer base.  

Namirial was advised by Legance and KPMG. Studio Informatica’s shareholders will reinvest a portion of their proceeds and join the shareholding group of Namirial.
